PBM Safeguard Terms Of Service

These Terms govern your use of the PBM Safeguard platform operated by:

By creating an account or using PBM Safeguard you agree to these Terms.
1. Service Description
PBM Safeguard is a software platform designed to assist property owners and property professionals with:
- organising property documentation
- tracking compliance deadlines
- managing property portfolios
- recording compliance information
PBM Safeguard is not a property management service and does not act as a letting agent or property manager. The platform provides organisational and informational tools only.
PBM Safeguard does not guarantee legal compliance and does not verify the accuracy of information entered by users.
PBM Safeguard does not monitor, verify, audit, or guarantee compliance with any legal or regulatory obligations. The platform provides organisational tools only and users remain solely responsible for ensuring legal compliance.
2. AI Assistant
PBM Safeguard includes an AI assistant known as Ask Megan. Ask Megan provides automated responses generated using artificial intelligence technology.
Information generated by the AI assistant:
- may be incomplete or inaccurate
- is provided for informational purposes only
- does not constitute legal advice
Users must not rely solely on AI responses for compliance decisions and should seek professional advice where necessary.
PBM Safeguard accepts no liability for actions taken based on AI-generated information.
3. Eligibility
Users must be at least 18 years old to use the platform.
By creating an account you confirm that you meet this requirement.
4. User Accounts
Users may create an account to access the platform.
You are responsible for:
- maintaining the security of your login credentials
- ensuring the accuracy of information entered into the platform
- ensuring that documents uploaded are lawful to store and process
5. User Content
Users may upload documents and information relating to properties and tenants. You retain ownership of all uploaded content.
By uploading content you grant PBM Safeguard permission to store and process the content solely for the purpose of operating the platform.
PBM Safeguard does not claim ownership of user content.
Users may export or download their data at any time while their account remains active.
6. Platform Availability
PBM Safeguard aims to maintain platform availability but does not guarantee uninterrupted access.
Maintenance, technical issues, or third-party service outages may affect availability.
7. Suspension And Termination
PBM Safeguard may suspend or terminate accounts where:
- payments fail
- the platform is used unlawfully
- users abuse or attempt to exploit the platform
Accounts may also be suspended where required to protect system security.
8. Subscriptions And Billing
PBM Safeguard operates on a subscription basis.
Subscriptions are billed monthly based on the number of properties registered within the user's account. Pricing is calculated dynamically depending on the number of properties added to the platform.
The applicable subscription price is displayed during the signup process before payment is authorised.
Payments are processed through GoCardless, a third-party payment provider. By subscribing to PBM Safeguard you authorise recurring monthly payments via GoCardless until the subscription is cancelled.
PBM Safeguard is not currently VAT registered. If VAT registration becomes applicable, VAT may be added to future invoices where required by law.
9. Subscription Changes
Users may upgrade or downgrade their subscription by adding or removing properties within their account.
Changes to subscription pricing will take effect at the next billing cycle.
No partial refunds or pro-rated adjustments are provided for changes made during an active billing period.
10. Cancellation
Users may cancel their subscription at any time through their account settings. Cancellation will take effect at the end of the current billing period.
No refunds are provided for payments already made unless required by law.
After cancellation:
- the account will remain accessible for 30 days
- users may export their stored data during this period
- after 30 days the account and associated data will be permanently deleted
11. Payment Failures
If a payment fails:
- the user will have 30 days to resolve the payment
- platform functionality may be restricted during this period
- if the payment remains unresolved after 30 days the account may be suspended
Suspended accounts remain accessible for 30 days for data export before deletion.
12. Data Storage And Backup
PBM Safeguard provides a platform for organising and storing property-related documents and information.
While reasonable technical measures are implemented to maintain system reliability and data integrity, PBM Safeguard does not guarantee that stored data will be free from loss, corruption, or unauthorised access.
Users are responsible for maintaining their own independent copies or backups of any documents or information uploaded to the platform.
PBM Safeguard shall not be liable for any loss, damage, or corruption of data stored within the platform, including where such loss results from:
- system failures
- software errors or bugs
- security incidents
- third-party service outages
- maintenance or platform updates
Nothing in this clause limits liability where such limitation is prohibited by applicable law.
13. User Responsibility For Uploaded Data
Users may upload documents and information relating to properties, tenants, and compliance records.
Users are solely responsible for ensuring that any information or documents uploaded to the platform:
- are accurate
- are lawful to store and process
- do not infringe the rights of any third party
- comply with applicable data protection and privacy laws
PBM Safeguard does not review, verify, or monitor the accuracy or legality of user-uploaded content.
Users must ensure they have the legal right to store and process any personal data uploaded to the platform, including tenant information.
PBM Safeguard accepts no liability for any consequences arising from inaccurate, unlawful, or inappropriate data uploaded by users.
14. Limitation Of Liability
To the fullest extent permitted by law:
PBM Safeguard shall not be liable for any indirect, incidental, or consequential losses arising from use of the platform.
Total liability shall not exceed the total amount paid by the user for the platform in the 12 months preceding the claim.
Nothing in these Terms limits liability where prohibited by law.
15. Acceptable Use
Users agree not to use PBM Safeguard:
- for unlawful activities
- to upload malicious software or harmful code
- to attempt unauthorised access to the platform
- to interfere with the operation or security of the system
- to use automated scripts or bots to scrape or exploit the platform
PBM Safeguard reserves the right to suspend or terminate accounts that violate this policy.
16. Third-Party Services
PBM Safeguard relies on third-party service providers to operate the platform, including hosting, database storage, payment processing, and artificial intelligence services.
These providers may include but are not limited to:
- Supabase (database services)
- Vercel (hosting infrastructure)
- GoCardless (payment processing)
- OpenAI (AI services)
PBM Safeguard is not responsible for outages, errors, or failures caused by third-party services.
17. Artificial Intelligence Outputs
The platform includes an AI assistant known as Ask Megan. AI responses are generated automatically and may contain inaccuracies, incomplete information, or outdated guidance.
Users must not rely solely on AI-generated responses for legal, regulatory, financial, or property management decisions.
AI responses are provided for informational purposes only and do not constitute professional advice.
PBM Safeguard accepts no responsibility for actions taken based on AI-generated content.
18. Account Security
Users are responsible for maintaining the confidentiality of their account credentials.
Users must notify PBM Safeguard immediately if they believe their account has been accessed without authorisation.
PBM Safeguard shall not be liable for losses resulting from unauthorised access caused by the user's failure to protect their login information.
19. Changes To The Service
PBM Safeguard may update, modify, or discontinue parts of the platform at any time in order to improve functionality, maintain security, or comply with legal requirements.
Where reasonably possible, significant changes will be communicated to users in advance.
20. Intellectual Property
All intellectual property rights relating to the PBM Safeguard platform, including software, design, branding, and content, are owned by Property By Megan Limited.
Users are granted a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose.
Users may not copy, distribute, reverse engineer, or reproduce the platform or any part of its functionality without written permission.
21. Force Majeure
PBM Safeguard shall not be liable for failure or delay in performing obligations where such failure results from events beyond its reasonable control.
This includes but is not limited to:
- natural disasters
- power outages
- internet service failures
- cyber attacks
- government actions
- third-party service outages
22. Data Storage And Backup
PBM Safeguard provides tools for storing and organising property-related documents and information.
While reasonable technical measures are implemented to maintain system reliability, PBM Safeguard does not guarantee that stored data will be free from loss, corruption, or unauthorised access.
Users are responsible for maintaining their own independent backups of documents uploaded to the platform.
23. Entire Agreement
These Terms constitute the entire agreement between the user and Property By Megan Limited regarding the use of PBM Safeguard.
24. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
25. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the jurisdiction of the courts of England and Wales.
